RESELL LICENSE AGREEMENT

This Resell License Agreement (hereinafter referred to as the "Agreement") is entered into by and between Digitalshopi (hereinafter referred to as the "Vendor") and the individual or entity (hereinafter referred to as the "Customer") obtaining resell rights to the Vendor's digital products (hereinafter referred to as the "Product").

1. GRANT OF LICENSE
The Vendor, with enthusiasm and trust, grants the Customer a non-exclusive, non-transferable license to resell all the Products provided by Digitalshopi. This license is limited to the specific terms outlined in this Agreement. The Products may only be resold through the website and domain set up and provided by Digitalshopi. Reselling on any other domain or platform is strictly prohibited.

2. TERMS OF USAGE
a. The Customer is allowed to sell the Products provided by Digitalshopi
b. The Customer must use the resources, setup, and installation files solely on the domain provided by Digitalshopi. Misuse or distribution of these files without approval from Vendor will be treated as a violation of this Agreement.

3. PROHIBITED ACTIVITIES
a. The Customer is strictly prohibited from reselling, distributing, or sharing the setup or installation files (including any site installed for the Customer) of the Digitalshopi provided to them as part of prebuilt site pack.
b. The Customer is not allowed to resell or use the prebuilt site (including landing pages, designs, configurations, or any other components specifically set up for them by Digitalshopi) for purposes other than selling the Products provided by Digitalshopi.
c. Violations of these terms will result in immediate termination of resell rights, legal proceedings, and penalties.

4. RESALE RIGHTS
a. The Customer is granted the right to resell all the digital products provided by Digitalshopi.
b. These reselling rights apply exclusively to the Products themselves and do not include the right to resell the site built or any customizations provided by Digitalshopi.
c. Any deviation from these terms, will result in revocation of resell rights and legal actions.

5. PROTECTION OF CONFIDENTIAL INFORMATION
Both parties agree to safeguard all non-public information and trade secrets shared during this partnership.

6. TERM AND TERMINATION
a. This Agreement remains effective until terminated by the Vendor.
b. If the Customer is found to have violated any of the terms herein, the Vendor reserves the right to revoke resell rights without notice and pursue legal remedies as necessary.

7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the country.

8-12. Additional Terms
This Agreement includes provisions for entire agreement, indemnification, modifications and waivers, customer obligations, and assignment restrictions as detailed in the full license terms.
